Role Overview
As our Fractional Chief Legal Officer (CLO), you will provide strategic legal guidance and oversight for our growing coaching platform. This ultra-lightweight role requires minimal time commitment (3-5 hours per month) while offering you the opportunity to shape the legal foundation of an innovative startup in the personal development space. You'll work directly with the CEO and leadership team to navigate legal considerations related to our platform, coaches, clients, and business operations. This position is ideal for an experienced legal professional looking to diversify their portfolio with an equity-based opportunity in a promising early-stage company.
Key Responsibilities
Legal Strategy & Risk Management
- Develop and implement legal strategies that support our business objectives while minimizing risk
- Identify potential legal issues and provide proactive guidance to leadership team
- Establish legal frameworks for coach agreements, client terms of service, and privacy policies
- Advise on regulatory compliance in the coaching industry across different jurisdictions
- Create risk management protocols appropriate for a startup environment
- Guide the company through legal aspects of fundraising and growth
Contract Development & Management
- Draft and review key contracts and agreements for the business
- Develop standardized templates for coach onboarding and client relationships
- Review vendor agreements and partnerships to protect company interests
- Ensure all legal documents align with company strategy and values
- Provide guidance on negotiation strategies when needed
- Establish efficient systems for contract management and compliance tracking
Intellectual Property & Data Privacy
- Develop strategy for protecting the company's intellectual property
- Guide compliance with data privacy regulations (GDPR, CCPA, etc.)
- Establish protocols for handling sensitive client information
- Advise on appropriate data collection, storage, and usage practices
- Draft and update privacy policies and terms of use for the platform
- Monitor evolving regulations that may impact our business model
Corporate Governance
- Advise on corporate structure and governance matters
- Support board and investor relations from a legal perspective
- Guide equity distribution and option agreements
- Ensure compliance with corporate filing requirements
- Develop lightweight governance processes appropriate for an early-stage company
- Provide strategic input on legal aspects of the company's growth plan
Qualifications
Required
- JD degree and active bar membership
- 7+ years of legal experience, with at least 3 years advising technology companies
- Experience with digital platforms, marketplace models, or SaaS businesses
- Strong understanding of privacy law and data protection regulations
- Excellent contract drafting and negotiation skills
- Ability to balance legal risk management with business objectives
- Experience working with early-stage companies and entrepreneurs
- Comfort with a lightweight, advisory role with minimal time commitment
Preferred
- Experience in the coaching, wellness, or personal development industries
- Background with consumer-facing digital platforms
- Knowledge of equity compensation structures and startup financing
- Experience with remote service provider models
- Understanding of coaching industry standards and regulations
- Previous fractional legal roles or experience as outside counsel to startups
